Terms of Service
Latest Update: September 2026
Please read these Terms of Service (the “Terms”) and our Privacy Policy (“Privacy Policy”) carefully because they govern your use of Dollar Diary, a personal finance tracking web application available at dollardiary.com (the “Site”) and related services offered by Dollar Diary, Inc. (“Dollar Diary,” “we,” “us,” or “our”). The Site, our web application, API, and all related services are collectively called the “Services.”
IMPORTANT: SECTION 21 REQUIRES MOST DISPUTES TO BE RESOLVED THROUGH BINDING INDIVIDUAL ARBITRATION INSTEAD OF IN COURT AND INCLUDES WAIVERS OF JURY TRIALS AND CLASS OR REPRESENTATIVE ACTIONS. SECTION 21 ALSO EXPLAINS HOW TO OPT OUT OF ARBITRATION WITHIN 30 DAYS.
Agreement to Terms. By creating an account, subscribing, or otherwise using our Services, you agree to be bound by these Terms. If you do not agree, do not use the Services. These Terms constitute a legally binding agreement between you and Dollar Diary, Inc.
Definitions. In these Terms:
(a) “Account” means your registered Dollar Diary account, including all associated credentials, settings, and preferences.
(b) “User Content” means any data, tags, tag groups, icons, queries, annotations, discretion ratings, itemization, splits, budget configurations, workspace configurations, or other content you create, upload, import, or store through the Services.
(c) “Workspace” means a collaborative environment within the Services where multiple users may access and manage shared data including transactions, tags, budgets, icons, bank connections, and saved queries.
(d) “Subscription” means your active paid plan that grants access to the Services, including any trial period.
(e) “API” means Dollar Diary’s application programming interface that allows programmatic access to your data.
(f) “AI Features” means features powered by third-party artificial intelligence services, including tag keyword suggestions, SQL query generation, and custom icon image generation.
Privacy Policy. Please review our Privacy Policy, which describes how we collect, use, share, and retain your information and how we use cookies and similar technologies in connection with the Services. The Privacy Policy is incorporated into these Terms by reference. If these Terms conflict with the Privacy Policy about the collection, use, disclosure, or retention of personal information, the Privacy Policy controls for that issue.
Changes to These Terms, the Services, Pricing, and Usage Limits.
(a) Changes to These Terms. We may update these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms on the Site, displaying an in-app notification, or sending you an email at the address associated with your Account. The “Latest Update” date at the top of these Terms indicates when they were last revised. Your continued use of the Services after such changes constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Services and may delete your Account.
(b) Changes to the Services. We may modify, update, suspend, or discontinue any part of the Services at any time, with or without notice. This includes adding, changing, restricting, or removing features, functionality, integrations, and third-party providers. We will make reasonable efforts to notify you of material changes to the Services that may affect your use. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Services.
(c) Changes to Pricing and Plans. We reserve the right to change the price of any Subscription plan, to introduce new plans, to change the features and usage allowances included in a plan, and to modify or discontinue any plan. Price changes affecting your existing Subscription are governed by Section 8(b). Changes to the features or allowances included in a plan may take effect immediately upon notice.
(d) Usage Limits and Fair Use. The Services enforce usage limits to maintain availability, performance, and cost control for all users. These limits include, without limitation: quotas on AI Features (such as the number of icon generations and AI-assisted queries permitted per billing period); API and application rate limits; caps on the number of Workspaces, Workspace members, invitations, tags, tag groups, budgets, custom fields, saved queries, API keys, and bank connections; limits on import file size and row count; limits on export volume; limits on file and image upload size; and limits on the length of individual fields. Current limits are reflected in the Services and, where applicable, in the API documentation.
We may establish, change, raise, lower, or remove any usage limit at any time, at our sole discretion, and may apply different limits to different plans, Accounts, or Workspaces. We will make reasonable efforts to provide advance notice before materially reducing a limit that applies to your active Subscription, but we may impose or tighten limits immediately where necessary to protect the security, integrity, availability, or cost structure of the Services, or to prevent abuse.
Exceeding a usage limit may result in throttled or rejected requests, temporary unavailability of the affected feature, or, for persistent or egregious overuse, suspension or termination of your Account under Section 20(b). Usage limits do not entitle you to a refund, credit, or any other compensation, whether or not you consume a given allowance in full. Unused allowances do not roll over between billing periods.
(e) No Liability for Changes. We are not liable to you or any third party for any change to these Terms, the Services, pricing, plans, or usage limits made in accordance with this Section.
Eligibility. You may use the Services only if you are at least 18 years old (or the age of majority in your jurisdiction, whichever is greater) and capable of forming a binding contract. By using the Services, you represent and warrant that you meet these requirements. The Services are designed for and marketed to users in the United States. We do not target or market the Services to individuals in the European Economic Area, United Kingdom, or other jurisdictions requiring GDPR compliance. If you access the Services from outside the United States, you do so at your own initiative and are responsible for compliance with applicable local laws, including data protection laws, tax obligations, and financial regulations. You may not use the Services if you are barred from doing so under applicable law or if your Account has been previously terminated by us.
Account Registration and Security.
(a) Registration. To use Dollar Diary, you must create an Account by authenticating through a supported identity provider (currently Google OAuth). You agree to provide accurate and complete information during registration and to keep your Account information current. You may not create an Account using another person’s identity or information without their permission. If you use the Services on behalf of an entity, you represent that you have authority to bind that entity to these Terms, and “you” includes that entity.
(b) Account Security. You are responsible for maintaining the confidentiality of your Account credentials, sessions, and API keys, and for all activity that occurs under your Account. You agree to: (i) use reasonable security practices to protect your Account; (ii) notify us immediately at info@dollardiary.com if you suspect unauthorized access to your Account; and (iii) not share your Account credentials or API keys with unauthorized third parties. We are not liable for any loss or damage arising from unauthorized use of your Account.
(c) Single User. Each Account is for a single individual. You may not share login credentials with others. Collaborative access is available through Workspaces (see Section 10).
(d) Account Linking. If you sign in with a new identity provider whose email matches an existing Account, we will send a confirmation email to verify the link. You must confirm the link before the new provider can be used to access your Account. We do not automatically link identity providers to existing Accounts.
- Description of Services. Dollar Diary is a personal finance tracking application that allows you to:
(a) Connect bank accounts via Stripe to sync transactions automatically;
(b) Create custom tags, tag groups, and icons to manually categorize and annotate your spending;
(c) Annotate transactions with discretion ratings (worth it, regret, required), itemization, notes, and splits;
(d) Set budgets with customizable filter rules based on tags, tag groups, merchants, date ranges, and other criteria;
(e) Analyze spending through interactive dashboards, charts, historical comparisons, and a built-in SQL editor powered by DuckDB;
(f) Generate AI-assisted search keywords, SQL queries, and custom icon images using third-party AI services;
(g) Create Workspaces and invite others to collaborate on shared transactions, tags, budgets, icons, bank connections, and other data;
(h) Access your data programmatically via API keys with configurable scopes and optional expiration dates; and
(i) Export your transaction data in JSON or CSV format with customizable filters.
Dollar Diary is a manual categorization and tracking tool. We do not automatically classify, tag, or analyze your transactions. You are solely responsible for the accuracy and completeness of your own tagging, annotations, budgets, and any conclusions you draw from the data presented. Dollar Diary is not a financial advisor, tax preparer, accountant, or fiduciary. Nothing in the Services constitutes financial, tax, investment, or legal advice.
- Subscriptions, Billing, and Payments.
(a) Subscription Required. Access to Dollar Diary requires an active paid Subscription. Certain limited functionality may be available without a Subscription, but full use of the Services requires payment.
(b) Subscription Plans. Current plans are:
- Weekly: $6.99 per week
- Monthly: $17.99 per month
Prices are in US Dollars. We reserve the right to change pricing at any time, and to introduce, modify, or discontinue plans. Price changes will take effect at the start of your next billing cycle after we provide you with at least 30 days’ notice. Current pricing is always displayed at checkout. If you do not agree to a price change, you may cancel your Subscription before the change takes effect; continuing to use the Services after the change takes effect constitutes acceptance of the new price. If a plan you are subscribed to is discontinued, we will notify you and may migrate you to the closest comparable plan at the start of your next billing cycle, which you may decline by cancelling. The usage allowances included in each plan are subject to change under Section 4(d).
(c) Payment Setup and Billing Start. Checkout saves your payment method without creating a Subscription or charging you for setup. After payment setup, billing begins automatically when a bank is connected or a real transaction is added to a Workspace you own, whether by you or another member. Transactions may come from bank syncing, a completed file import, the API, or manual entry. System sample transactions do not start billing. If any Workspace you own already has a bank connection or real transactions, completing payment setup starts billing immediately. Setup grants ordinary plan access, but paid AI features require an eligible active Subscription. You may cancel payment setup before billing starts without a subscription charge. Unused payment setup expires after 30 days.
(d) Payment Processing. All payments are processed by Stripe, Inc. By subscribing, you agree to Stripe’s terms of service and authorize Stripe to charge your designated payment method on a recurring basis according to your selected plan. We do not store your payment card details directly.
(e) Billing Cycle. Your Subscription automatically renews at the end of each billing cycle (weekly or monthly) unless you cancel before the renewal date. The renewal charge will be at the then-current rate for your plan.
(f) Failed Payments. If a payment fails, we will attempt to process the charge again using the payment method on file. We may retry failed payments multiple times over a reasonable period. If payment cannot be collected after reasonable attempts, we may suspend or terminate your access to the Services. You remain responsible for any uncollected amounts.
(g) Plan Changes. You may switch between billing intervals (weekly or monthly) at any time through your Account settings. The new billing interval and pricing take effect when your current billing period ends; self-service plan changes do not create a mid-cycle charge, credit, or refund.
(h) Cancellation. You may cancel your Subscription at any time through the Stripe customer portal accessible from your Account settings. Upon cancellation: (i) you retain access to the Services until the end of your current paid billing period; (ii) your Subscription will not renew; and (iii) after the current period ends, your access to premium features will be restricted. Cancellation does not entitle you to a refund of any fees already paid.
(i) Refunds. No refunds are provided for partial billing periods, unused time, or downgraded plans. In exceptional circumstances, we may issue refunds at our sole discretion. All refund requests should be directed to info@dollardiary.com.
(j) Taxes. All prices are exclusive of applicable taxes. You are responsible for paying any taxes, duties, or other governmental charges imposed on your Subscription. We will collect applicable taxes where legally required.
(k) Currency. All charges are in US Dollars. If your payment method is denominated in a different currency, your bank or card issuer may apply currency conversion fees. We are not responsible for any fees imposed by your financial institution.
- Your Content and Data.
(a) Ownership. You retain all ownership rights in your User Content. These Terms do not transfer any intellectual property rights in your User Content to us.
(b) License to Us. By using the Services, you grant us a limited, non-exclusive, worldwide, royalty-free license to use, store, process, reproduce, and display your User Content solely as necessary to: (i) provide, maintain, and improve the Services; (ii) create backups and ensure data integrity; (iii) comply with legal obligations; and (iv) enforce these Terms. We will not use your User Content for any purpose unrelated to the Services, and we will not sell your User Content to third parties.
(c) Responsibility for Content. You are solely responsible for your User Content, including its accuracy, legality, and appropriateness. You represent and warrant that you have all necessary rights to submit your User Content and that it does not violate any third party’s rights or applicable law.
(d) Data Export. You may export your transaction data at any time in JSON or CSV format with customizable filters (date range, transaction state, tag inclusion, and other criteria). We believe in data portability and will not unreasonably restrict your ability to export your data.
(e) Account Deletion. You may delete your Account at any time through your Account settings. Upon deletion, all associated data (including transactions, tags, icons, budgets, saved queries, bank connections, API keys, and billing associations) will be permanently and irreversibly removed from our active systems. If you own one or more shared Workspaces, you must delete each of those Workspaces (or remove their other members) and cancel your Subscription before deleting your Account. Some information may be retained in encrypted backups for a limited period as part of our standard backup cycle, after which it will be automatically purged. We may also retain certain information as required by law (such as billing records for tax and accounting purposes).
(f) Data Accuracy. You are responsible for the accuracy of User Content you create. We provide transaction data as received from your connected financial institutions via Stripe and do not independently verify, guarantee, or warrant its completeness, accuracy, or timeliness. Discrepancies between your bank statements and the data displayed in Dollar Diary should be resolved with your financial institution.
(g) No Data Recovery. Once you delete data (transactions, tags, icons, etc.) or your Account, we cannot recover it. You are responsible for exporting any data you wish to retain before deletion.
(h) Backups and Continuity. The Services are not a substitute for your own records or backups. Although we take reasonable measures to preserve service data, we do not guarantee that User Content will never be lost, corrupted, delayed, or unavailable. You are responsible for maintaining copies of any User Content you need for legal, tax, accounting, or other purposes.
(i) Review and Removal. We may, but are not required to, review, restrict, or remove User Content when we reasonably believe it violates these Terms or applicable law, infringes another person’s rights, threatens the Services or another person, or exposes us or others to liability. Our ability to review content does not make us responsible for User Content or require us to monitor it.
- Workspaces.
(a) Creation and Membership. You may create a Workspace and invite others by email to collaborate. Subscriptions are user-level and follow the Workspace owner: a single active Subscription covers every Workspace that user owns, with no separate per-Workspace charge. All Workspace members have access to the Workspace’s shared data, including transactions, tags, budgets, icons, bank connections, and saved queries.
(b) Workspace Owner Responsibilities. The Workspace owner is responsible for: (i) managing membership and controlling who has access; (ii) maintaining an active Subscription on their Account while any owned Workspace requires paid features; (iii) ensuring that shared data is appropriate for all members; and (iv) removing members who violate these Terms. Ownership of a Workspace is not transferable to another member; if you wish to walk away, delete the Workspace, or duplicate it into a new Workspace you own and then leave or delete the source Workspace.
(c) Member Rights. Non-owner members may leave a Workspace at any time. Any member may also duplicate a Workspace they belong to into a new, independent Workspace they own solo. Duplicating does not remove you from or otherwise change the source Workspace. Duplicated data becomes a separate, independent copy; subsequent changes in either Workspace do not affect the other. A duplicate includes only the duplicating member’s own bank connections (other members’ bank connections, which are tied to their provider credentials, are not included).
(d) Data Sharing Acknowledgment. By joining a Workspace, you acknowledge that all members have full access to all shared data within that Workspace, including financial transaction data. You should only join Workspaces with individuals you trust with access to this information. Dollar Diary is not responsible for how other Workspace members use, share, or disclose shared data outside of the Services.
(e) Workspace Invites. Invitations are sent via email and expire after a set period. The Workspace owner may cancel pending invitations at any time. Cancelled invitations cannot be accepted.
- API Access.
(a) API Keys. You may generate API keys to access your data programmatically. API keys have configurable scopes (read, create, update, delete) and optional expiration dates. You may create multiple API keys with different scopes for different purposes.
(b) Responsibility. You are solely responsible for: (i) securing your API keys and keeping them confidential; (ii) all activity conducted through your API keys, whether or not authorized by you; (iii) ensuring that applications using your API keys comply with these Terms; and (iv) immediately revoking any key you believe has been compromised. Treat API keys as sensitive credentials equivalent to passwords. Do not embed API keys in client-side code, public repositories, or any location accessible to unauthorized parties.
(c) Rate Limits and Restrictions. We impose rate limits on API usage to maintain service quality and availability for all users. Current rate limits are displayed in the API documentation. Exceeding rate limits will result in temporary throttling of your requests. Persistent or egregious abuse of the API (including attempts to circumvent rate limits) may result in temporary or permanent revocation of API access. Rate limits are usage limits within the meaning of Section 4(d) and may be changed at any time.
(d) No Service Level Agreement. API access is provided on an “as available” basis. We do not guarantee any specific uptime, latency, or throughput for API access. We may modify, deprecate, or discontinue API endpoints with reasonable notice.
(e) Permitted Use. The API is provided for your personal or internal business use to access and manage your own Dollar Diary data. You may not use the API to: (i) build a competing product or service; (ii) resell, sublicense, or redistribute access to the API; (iii) systematically scrape or harvest data; or (iv) perform any activity that degrades the performance or availability of the Services for other users.
- AI Features.
(a) Third-Party AI. Certain features of the Services use OpenAI’s API to generate or enrich content, including merchant identification, tag keyword suggestions, SQL queries, and custom icon images. Depending on the feature, limited contextual data such as a raw bank descriptor, tag names, query prompts and workspace schema metadata, icon descriptions, and reference images you provide is sent to OpenAI for processing.
(b) Data Minimization. We do not send OpenAI transaction amounts, dates, annotations, financial account details, bank credentials, or your full transaction dataset. The raw bank descriptor used for merchant enrichment is the only transaction-level field routinely sent to OpenAI and may occasionally contain a person’s or business’s name as supplied by the financial institution. Only the minimum data necessary for the feature is transmitted.
(c) Quotas. Use of AI Features is subject to per-plan quotas that reset each billing period, including limits on the number of icon images you may generate and the number of AI-assisted queries you may run. Quotas are allocated to the Workspace owner and are consumed by all members of the Workspaces they own. Once a quota is exhausted, the affected feature is unavailable until the quota resets. Quotas are usage limits within the meaning of Section 4(d) and may be changed at any time.
(d) No Guarantees. AI-generated or enriched content is provided as suggestions only. We do not guarantee that AI-identified merchants, generated keywords, queries, or images will be accurate, appropriate, complete, or suitable for your needs. You are responsible for reviewing and validating all AI output before relying on it. AI-generated SQL queries may produce incorrect results or errors, so always verify query output against your actual data.
(e) Content Screening. We may use automated services, including AI moderation and infrastructure-level hash-matching, to screen uploaded images and files (such as icon reference images, profile and workspace images, and custom field uploads) for prohibited content. Content that violates our prohibited conduct policies may be rejected, removed, or reported as described in Section 14.
(f) Third-Party Terms. Your use of AI Features is also subject to OpenAI’s usage policies and terms. We are not responsible for OpenAI’s data handling practices beyond the data we transmit as described above.
(g) Ownership of AI-Generated Icons. All custom icon images generated through the Services (including images produced from your prompts, descriptions, or reference images) are the property of Dollar Diary, Inc. By using the icon generation feature, you grant us, and acknowledge that we retain, all right, title, and interest in such generated images, including the perpetual, worldwide, royalty-free right to reproduce, display, distribute, modify, and otherwise use them for any purpose (including public display, landing pages, marketing materials, promotional content, product showcases, and training data) without further notice, attribution, or compensation to you. You retain the right to use generated icons within your own Account and Workspaces as part of the Services for your personal, non-commercial categorization and tracking purposes. You may not, however, extract, export, redistribute, resell, sublicense, or otherwise use any AI-generated icon in or in connection with any other commercial platform, product, service, application, or offering, whether your own or a third party’s. Any such use is a material breach of these Terms and may result in suspension or termination of your Account. This provision does not apply to reference images you upload, which remain your User Content under Section 9.
- Third-Party Services. The Services integrate with third-party providers. Your use of these integrations is subject to the respective third party’s terms and privacy policies, which we encourage you to review:
(a) Stripe (Banking). Bank account connections and transaction syncing are provided by Stripe, Inc. Dollar Diary does not receive or store your bank login credentials. All bank authentication is handled directly by Stripe’s secure infrastructure. Your use of Stripe Financial Connections is subject to Stripe’s terms.
(b) Stripe (Payments). Payment processing and subscription management are provided by Stripe, Inc. Your payment information is handled in accordance with Stripe’s Privacy Policy.
(c) OpenAI. AI-powered features use OpenAI’s API as described in Section 12. OpenAI’s handling of transmitted data is governed by OpenAI’s Privacy Policy.
(d) Resend. Transactional emails (such as workspace invitations, account verification, and identity linking confirmations) are sent via Resend. Resend’s handling of your data is governed by Resend’s Privacy Policy.
(e) Airtable. If you submit in-app feedback, your submission (including feedback text, your account email address, and a user identifier) is stored in Airtable. Airtable’s handling of your data is governed by Airtable’s Privacy Policy.
(f) Slack. In-app bug reports, feature requests, and support questions are delivered to our private Slack support workspace for operational review. Slack’s handling of this data is governed by Slack’s Privacy Policy.
(g) External Links and Services. The Services may link to, embed, or interoperate with other third-party websites, content, or services. A link or integration does not mean that we control or endorse it. Your use of a third-party service is at your own risk and is governed by that third party’s terms and privacy practices.
(h) Other Users. Your interactions and disputes with other users or Workspace members are between you and them. We are not responsible for another user’s conduct or their use or disclosure of information you choose to share, and we have no obligation to become involved in a dispute between users.
We are not responsible for the availability, accuracy, practices, or policies of any third-party services. Third-party services may experience outages, changes, or discontinuations that affect the Services. We will make reasonable efforts to notify you of material disruptions caused by third-party service issues.
- Prohibited Conduct. You agree not to:
(a) Use the Services for any unlawful purpose or in violation of any applicable law or regulation;
(b) Attempt to gain unauthorized access to other users’ Accounts, Workspaces, data, or any part of the Services’ infrastructure;
(c) Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any part of the Services;
(d) Interfere with, disrupt, overload, or attempt to compromise the integrity, security, or proper functioning of the Services or related infrastructure, including servers, networks, and databases;
(e) Use automated tools (bots, scrapers, crawlers, spiders) to access the Services except through the provided API with valid credentials and in compliance with applicable rate limits;
(f) Share, sell, rent, lease, sublicense, or transfer your Account, credentials, or API keys to any third party;
(g) Circumvent, disable, or otherwise interfere with any security measures, rate limits, access controls, or usage restrictions implemented in the Services;
(h) Use the Services to develop, train, or improve a competing product or service, or to perform competitive analysis or benchmarking;
(i) Upload, transmit, or store any content that is unlawful, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable, including through custom icon uploads, custom field file and image uploads, profile or workspace images, or AI feature prompts;
(j) Impersonate any person or entity, or falsely claim an affiliation with any person or entity;
(k) Use the Services to send unsolicited communications, spam, or phishing attempts through any feature including workspace invites;
(l) Introduce viruses, malware, or other malicious code into the Services;
(m) Attempt to probe, scan, or test the vulnerability of the Services or any related system or network, except with our prior written consent; or
(n) Encourage, facilitate, or instruct others to engage in any of the above activities.
(o) Collect, use, disclose, upload, or otherwise process another person’s personal information without the authority, notice, or consent required by applicable law; or
(p) Infringe or misappropriate another person’s intellectual property, privacy, publicity, confidentiality, or other rights.
Child Sexual Abuse Material. We have zero tolerance for child sexual abuse material (“CSAM”) or any content that sexually exploits or endangers minors. You may not upload, store, transmit, or link to such content through any feature of the Services. We use automated tools, including hash-matching provided by our infrastructure providers, to detect known CSAM in content processed through the Services. Any confirmed or suspected CSAM will be removed, the responsible Account will be terminated, and the matter will be reported to the National Center for Missing & Exploited Children (NCMEC) and, where applicable, to law enforcement, along with associated Account information. This obligation applies regardless of any other provision of these Terms.
We reserve the right to investigate and take appropriate action against anyone who violates these prohibitions, including suspending or terminating their Account and reporting violations to law enforcement.
To report content that violates these prohibitions, contact us at info@dollardiary.com. We review abuse reports and remove violating content promptly.
Feedback and Suggestions. If you provide us with feedback, suggestions, ideas, or other submissions regarding the Services (“Feedback”), you grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, fully sublicensable license to use, reproduce, modify, distribute, and otherwise exploit such Feedback for any purpose without obligation or compensation to you. You acknowledge that we are not required to use any Feedback and that we may already be developing similar features or ideas independently.
Intellectual Property.
(a) Our Rights. The Services, including all software, source code, algorithms, user interfaces, design, branding, logos, documentation, and content (excluding User Content), are owned by Dollar Diary, Inc. or our licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws. These Terms do not grant you any rights to our trademarks, service marks, logos, or brand features.
(b) Limited License. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your personal or internal business purposes. This license does not include the right to: (i) modify, copy, or create derivative works of the Services; (ii) sublicense, sell, or redistribute the Services; (iii) use the Services for the benefit of any third party (except Workspace members as permitted herein); or (iv) remove, alter, or obscure any copyright, trademark, or other proprietary notices.
(c) Reservation of Rights. All rights not expressly granted in these Terms are reserved by Dollar Diary. Nothing in these Terms shall be construed as granting any license or right to use any of our intellectual property except as expressly stated herein.
(d) Copyright Complaints. If you believe content available through the Services infringes your copyright, email info@dollardiary.com with: (i) identification of the copyrighted work; (ii) identification and location of the allegedly infringing material; (iii) your contact information; (iv) a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or law; (v) a statement, made under penalty of perjury, that your notice is accurate and that you are authorized to act for the copyright owner; and (vi) your physical or electronic signature. We may remove or restrict allegedly infringing material and terminate repeat infringers where appropriate. Knowingly submitting a materially false claim may expose you to liability.
- Warranty Disclaimers. THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND QUIET ENJOYMENT. WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT:
(a) The Services will be uninterrupted, secure, error-free, or free of viruses or other harmful components;
(b) Transaction data from connected bank accounts will be accurate, complete, timely, or free of errors or duplicates;
(c) AI-generated suggestions, keywords, queries, or images will be accurate, appropriate, or suitable for your needs;
(d) The Services will meet your specific requirements or expectations;
(e) Any errors or defects in the Services will be corrected;
(f) The Services will be available at any particular time or location;
(g) The results obtained from using the Services will be accurate, reliable, or complete; or
(h) The quality of the Services will meet your expectations.
We do not warrant that User Content will be preserved without loss, corruption, or interruption. You are responsible for maintaining independent copies of records you need.
Dollar Diary is a tracking and categorization tool, not a financial advisor, accountant, tax preparer, or fiduciary. Nothing in the Services constitutes financial, tax, investment, or legal advice. You should consult qualified professionals for financial, tax, or legal guidance. Any reliance on information provided through the Services is at your own risk.
- Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
(a) IN NO EVENT SHALL DOLLAR DIARY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF (OR INABILITY TO USE) THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY (WHETHER CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
(b) WITHOUT LIMITING THE FOREGOING, WE SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING FROM: (i) ERRORS, INACCURACIES, OR OMISSIONS IN TRANSACTION DATA RECEIVED FROM THIRD-PARTY FINANCIAL INSTITUTIONS; (ii) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA; (iii) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICES; (iv) THE COST OF PROCUREMENT OF SUBSTITUTE SERVICES; (v) DECISIONS YOU MAKE BASED ON INFORMATION PROVIDED THROUGH THE SERVICES; (vi) INTERRUPTIONS, DELAYS, OR CESSATION OF THE SERVICES; OR (vii) ANY MATTER BEYOND OUR REASONABLE CONTROL.
(c) OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING UNDER OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE GREATER OF: (i) THE AMOUNTS YOU HAVE ACTUALLY PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (ii) ONE HUNDRED US DOLLARS ($100.00).
(d) THE LIMITATIONS IN THIS SECTION APPLY TO THE FULLEST EXTENT PERMITTED BY LAW AND SHALL SURVIVE THE TERMINATION OF THESE TERMS AND YOUR USE OF THE SERVICES.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OF LIABILITY FOR CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.
Indemnification. You agree to indemnify, defend, and hold harmless Dollar Diary, its officers, directors, employees, agents, licensors, and service providers from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees and court costs) arising out of or related to: (a) your use of or access to the Services; (b) your User Content; (c) your violation of these Terms; (d) your violation of any applicable law or regulation; (e) your violation of any third-party right, including intellectual property, privacy, or publicity rights; (f) any dispute between you and another user or Workspace member; or (g) your negligence or willful misconduct. We will make reasonable efforts to notify you of a covered claim. We reserve the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you agree to cooperate with our defense. You may not settle a covered claim without our prior written consent if the settlement admits fault by, imposes obligations on, or fails to unconditionally release Dollar Diary or another indemnified party. This indemnification obligation will survive termination of these Terms and your use of the Services.
Termination.
(a) Termination by You. You may terminate your Account at any time by deleting it through your Account settings. You may also cancel your Subscription separately without deleting your Account, in which case your Account will remain active until the end of the current billing period.
(b) Termination by Us. We may suspend or terminate your access to the Services at any time and for any reason, including but not limited to: (i) violation of these Terms; (ii) fraudulent, abusive, or illegal activity; (iii) non-payment of fees; (iv) extended periods of inactivity; or (v) requests by law enforcement or government agencies. We will make reasonable efforts to provide notice before termination, except where we believe immediate action is necessary to protect the Services, our users, or third parties.
(c) Effect of Termination. Upon termination: (i) your right to use the Services ceases immediately; (ii) we may delete your Account and all associated data after a reasonable grace period (except where retention is required by law); and (iii) any outstanding payment obligations survive termination. We recommend exporting your data before termination takes effect. To the maximum extent permitted by law, we are not liable for a suspension or termination made in accordance with these Terms.
(d) Survival. Sections 2, 9(b), 15, 16, 17, 18, 19, 21, and 22 survive any termination or expiration of these Terms.
- Governing Law and Dispute Resolution.
(a) Governing Law. These Terms are governed by and construed in accordance with the laws of the Abu Dhabi Global Market (ADGM), without regard to its conflict of law provisions.
(b) Informal Resolution. Before starting arbitration, the party raising a dispute must send the other party a written notice describing the account involved, the facts and legal basis of the dispute, and the relief requested. Notices to Dollar Diary must be sent to info@dollardiary.com; we may send a notice to the email address associated with your Account. The parties will attempt in good faith to resolve the dispute for 30 days after receipt of the notice and, if either party requests it, will participate in an individual telephone or video conference. Any applicable limitation period is tolled during this 30-day process.
(c) Agreement to Arbitrate. Except for disputes described in Sections 21(g) and 21(i), any dispute, controversy, or claim arising out of or relating to these Terms, the Privacy Policy, the Services, or the relationship between you and Dollar Diary, including claims arising before you accepted these Terms, shall be finally resolved by binding individual arbitration. The seat and legal place of arbitration is Abu Dhabi Global Market. The arbitration will be conducted in English by one arbitrator in accordance with the ADGM Arbitration Regulations 2015, as amended. The parties will attempt to agree on the arbitrator; if they do not agree within 30 days after a valid arbitration request, the arbitrator will be appointed in accordance with those Regulations.
(d) Arbitrator’s Authority. Except where applicable law requires a court to decide an issue, the arbitrator has exclusive authority to decide disputes about the formation, scope, interpretation, validity, or enforceability of this arbitration agreement. The arbitrator may award any individual remedy available in court, including declaratory or injunctive relief, but may not award relief for anyone who is not a party to the arbitration. The arbitrator will issue a reasoned written decision. The award is final and binding, subject to any review permitted by applicable law, and judgment on the award may be entered in any court of competent jurisdiction.
(e) Confidentiality. The parties will keep the arbitration, submissions, evidence, and award confidential except to the extent disclosure is reasonably necessary to conduct the proceeding, enforce or challenge an award, comply with law, or protect a legal right.
(f) Jury Trial Waiver. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND DOLLAR DIARY WAIVE ANY RIGHT TO HAVE A COVERED DISPUTE DECIDED BY A JUDGE OR JURY IN COURT.
(g) Injunctive Relief. Either party may seek temporary or preliminary injunctive relief in a court of competent jurisdiction to protect intellectual property rights, confidential information, or prevent irreparable harm without first completing arbitration. Seeking that limited relief does not waive arbitration of the underlying dispute.
(h) Class Action Waiver. YOU AND DOLLAR DIARY AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, COLLECTIVE, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate different persons’ claims or preside over a class, consolidated, collective, or representative proceeding unless both parties agree in writing.
(i) Small Claims. Either party may bring an individual action in a court that has lawful small-claims jurisdiction instead of arbitration. If a claim is transferred, removed, or appealed to a court that does not use small-claims procedures, either party may require arbitration.
(j) Fees and Costs. Each party will bear its own attorneys’ fees and arbitration costs unless applicable law, the ADGM Arbitration Regulations, or the arbitrator permits a different allocation. The arbitrator may award fees or costs where authorized by law or when a claim or defense was frivolous or brought for an improper purpose.
(k) 30-Day Opt-Out. You may opt out of Sections 21(c) through 21(j) by emailing info@dollardiary.com within 30 days after you first accept these Terms or are first notified of a material change to this arbitration agreement. Your notice must include your full legal name, the email address associated with your Account, and an unambiguous statement that you are opting out of arbitration. Opting out does not affect any other part of these Terms. If you validly opt out, disputes will be resolved in a court of competent jurisdiction, subject to Sections 21(a), 21(b), and 21(l).
(l) Limitation Period. To the maximum extent permitted by law, any claim arising out of or related to these Terms or the Services must be filed within one (1) year after the claim accrues. Claims filed after this period are permanently barred.
(m) Arbitration Severability. If any part of this arbitration agreement is found invalid or unenforceable, it will be modified to the minimum extent necessary and the remainder will remain effective. If the class action waiver is found unenforceable for a particular claim or remedy, only that claim or remedy may proceed in court after all arbitrable claims are completed. If applicable law prohibits arbitration of a particular claim, that claim may proceed in court while all other claims remain subject to arbitration.
- General Provisions.
(a) Entire Agreement. These Terms, together with the Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and Dollar Diary, Inc. regarding the Services and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.
(b) Severability. If any provision of these Terms is found by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
(c) No Waiver. Our failure to exercise or enforce any right or provision of these Terms does not constitute a waiver of that right or provision. A waiver of any right or provision will be effective only if made in writing and signed by an authorized representative of Dollar Diary.
(d) Assignment. You may not assign, transfer, or delegate your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms freely, including in connection with a merger, acquisition, reorganization, or sale of assets. Subject to the foregoing, these Terms bind and inure to the benefit of the parties and their respective successors and permitted assigns.
(e) Force Majeure. We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, civil unrest, labor disputes, government actions, power failures, internet or telecommunications failures, cyberattacks, or failures of third-party service providers (including Stripe, OpenAI, and hosting providers).
(f) Electronic Communications. By creating an Account, you consent to receive communications from us electronically, including via email and in-app notifications. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.
(g) Headings. Section headings are for convenience only and do not affect the interpretation of these Terms.
(h) Independent Contractors. The relationship between you and Dollar Diary is that of independent parties. Nothing in these Terms creates a partnership, joint venture, agency, employment, or franchise relationship.
(i) Third-Party Beneficiaries. These Terms do not confer any rights or remedies upon any third party, except as expressly provided herein.
(j) Export Compliance. You agree to comply with all applicable export and import control laws and regulations. You may not use the Services in any country or region that is subject to comprehensive US government sanctions.
(k) Accessibility. We want the Services to be accessible to people with disabilities. If you have difficulty accessing or navigating the Services or have an accessibility suggestion, contact us at info@dollardiary.com. We will make reasonable efforts to address accessibility concerns.
(l) Interpretation. In these Terms, “including” means “including without limitation,” and examples do not limit the general words that precede them.
(m) Copyright and Trademarks. Copyright © 2026 Dollar Diary, Inc. All rights reserved. Dollar Diary names, logos, and brand features may not be used without our prior written consent. Third-party marks belong to their respective owners.
